Position Overview: We are seeking a skilled Senior Corporate Counsel/ VP-Legal to join our legal team, reporting directly to the General Counsel. This individual will play a crucial role in managing and overseeing the drafting, reviewing, advising, and negotiating of a wide range of high-volume and time-sensitive commercial contracts essential to our various subsidiaries and departments. Additionally, this role will involve collaboration with the company's internal claims department, external insurance adjusters, and management of outside counsel across the U.S. on a variety of issues. Key Responsibilities: * Draft, review, and negotiate complex commercial contracts, including real estate and equipment leases, licenses, purchase and sales agreements, insurance contracts, transportation agreements for shippers, brokers, and 3PLs, warehousing agreements and crane service agreements. * Provide strategic legal advice and guidance to senior management and business units on contract terms, risks and negotiation strategies. * Ensure compliance with legal and regulatory requirements. * Collaborate with the Company's internal claims department and outside insurance adjusters to manage and resolve legal matters related to claims and insurance disputes. * Effectively manage outside counsel throughout the U.S., ensuring efficient and cost-effective delivery of legal services to support nationwide network. * Manage and prioritize multiple contract negotiations and legal projects simultaneously. * Identify and resolve legal issues and disputes to achieve mutually beneficial results. * Develop and maintain contract templates, policies, and procedures to streamline contract management processes and ensure consistency across the organization. Qualifications Requirements: * Juris Doctor (J.D.) degree from an accredited law school and active membership in good standing with the state Bar. * Minimum of 5 years of experience practicing law, with significant experience in drafting and negotiating commercial contracts. * Proven ability to handle high-volume contract negotiations in a fast-paced environment. * Strong understanding of transportation law principles and familiarity with relevant legal and regulatory requirements. * Excellent communication, negotiation, and problem-solving skills. * Ability to work collaboratively with cross-functional teams and external stakeholders. * Experience in managing claims, insurance disputes, and working with insurance adjusters is preferred. * Prior experience managing outside counsel and legal vendors across multiple jurisdictions is highly desirable.
