Based in Burlington, Massachusetts and reporting to the Associate General Counsel (Corporate and Securities), you will assist in all areas related to the company's global corporate matters, securities laws matters and related compliance, including Securities Act and Exchange Act matters. What You'll Do * Please note this is a hybrid position, therefore office attendance in the Burlington, MA collaboration hub is required. * Manage the corporate administration and ongoing compliance for 20+ legal entities in the U.S., Canada, EMEA and APAC regions, including: * Maintain global corporate compliance calendar; * Assist in preparing materials for board and board committee meetings; * Draft corporate resolutions; and * Maintain corporate minute books. * Coordinate renewal for global insurance programs and maintain processes throughout the year. * Provide back up coverage for equity plan administration. * Responsible for the initial intake and response to legal requests from internal teams related to corporate secretary matters. * Act as principal point of contact between legal and internal teams for corporate governance matters * Advise internal stakeholders on applicable legal processes and provide ongoing guidance and coordination throughout such processes. * Assist in identifying and implementing process improvements to promote efficient workflows and handling of corporate governance, insurance and other relevant requests. * Facilitate the approval, and signature processes for relevant processes * Manage outside counsel and service provider engagements * Perform corporate due diligence in acquisitions * Prepare Section 16 filings and assist in preparing proxy statement. * Conduct routine NYSE listing compliance * Conduct research and resolve routine legal questions * Project manage strategic legal projects with other legal professionals and internal stakeholders, particularly in relation to entity rationalization and acquisitions * Other tasks and duties as assigned What You'll Bring * 3+ years experience as a paralegal in the relevant practice area. * Previous in-house legal experience a plus. * A high level of professionalism, integrity, and discretion in handling confidential information, as well as the ability to work well with people at all levels inside and outside the company. * Strong work ethic with a commitment to ensure that all deadlines are met on time. * Self-starter with the ability to work independently. * Excellent time management and prioritization skills and ability to manage multiple deadlines in a fast-paced and dynamic environment. * Superb organizational skills and attention to detail. * Excellent interpersonal, written (grammar, spelling, formatting) and verbal communication skills.
