Job Summary: The Senior Manager of Corporate Development / M&A plays a key role within the Corporate Development department. This individual is responsible for deploying and managing the pipeline process for mergers and acquisitions (M&A) and partnership activities. The Senior Manager will work closely with internal stakeholders and external sources to manage the intake process for opportunities. The role encompasses the entire deal process from initial scouting, fit analysis, business case support, valuation, and supporting negotiations. Additionally, the Senior Manager takes the lead role in integration to ensure the smooth transition of newly acquired businesses into our organization. This role reports to the Vice President of Strategy & Corporate Development. Primary Responsibilities: Strategic Investment Management * Waterline process for both strategic internal and external projects. * Regular process to rebalance these projects. * Create a strategic "investment" committee. * Create one master tracker with all projects aligned to the Strategic Pillars of Optimize the Business, Expanding the Core, and Creating Differentiations (HVAB) pillars. * Monthly/Quarterly update on projects - tie into the investment committee process. * Integrate into CAPEX and funding approval process. External Investments (M&A) * M&A Strategy: Implement and adapt comprehensive M&A methodology to align with the 2030 goals. * Deal Origination: Proactively source and identify potential M&A targets and strategic partnership opportunities through various channels such as industry resources, Investment Bankers, and M&A firms. * Valuation and Financial Analysis: Support the valuation process by assessing target companies' financial performance and projections. Conduct financial modeling to determine the fair value of potential transactions. * Integration: Lead the post-merger integration teams to ensure a smooth transition and maximize value creation from completed transactions. Develop integration plans, including synergies identification and realization strategies, to seamlessly integrate acquired entities into KMC. * Establish a defined process to communicate KMC target metrics to external partners. * Create an intake process for M&A opportunities, vet these opportunities, and bring them to the investment committee. * Develop a strategy to leverage external market resources. * Support tracking of synergies for completed transactions. Market Intelligence and Integration with Kloeckner (Holding) * Work with Kloeckner (Holding) to manage external relationships with content and SME providers - leverage these external resources to bring in more value to KMC. * As required and for M&A rationale, track key market trends/indicators and report consolidated information to the executive management team. * Coordinate activities with Kloeckner. * Preparations of supporting materials for board approvals, related to the activities above. Minimum Qualifications: * Bachelor's degree in finance or accounting or equivalent * 5+ years of relevant experience Preferred Qualifications: * Education: Master's degree or equivalent in business administration, accounting, finance, economics, computer sciences, or a related field preferred. * Business Vision: Ability to develop a vision of market direction, and the company's trajectory and deduce from it the product offering required to fill the gap. Ability to understand and project the fit of any given product into our business environment. * Strategic Mindset: Ability to view, plan, and act based on 3-5 years out vision to meet KMC 2030 goals. * Executive Presence: Ability to converse, convey, and understand issues shared with top-level executives of candidate companies and industry colleagues. * Proactive and Transparent: address candidate companies, stay on target, and message and convey KMC's strategy. * Financial Acumen: Strong financial analysis and modeling skills, including valuation techniques and financial statement analysis. Ability to assess the financial impact of M&A transactions and develop business cases. * Strategic Thinking: Demonstrated ability to think strategically and evaluate business opportunities from a holistic perspective. * Analytical Skills: Strong analytical and problem-solving skills to assess complex business situations, identify critical issues, and develop innovative solutions. Attention to detail and ability to handle multiple projects simultaneously. * Leadership: Proven leadership skills with the ability to lead cross-functional teams and manage external advisors. Strong project management skills and the ability to drive initiatives to completion. * Communication Skills: This leader will need to have exceptional communication skills.
