Position Summary Senior Corporate Counsels serve as key employees within the Legal Department, providing legal counsel and representation to business groups and corporate staff. Senior Corporate Counsels report to and are responsible for addressing legal issues assigned by the Group General Counsel and the Company's General Counsel. The position is a mid-level position within the Legal Department, but interacts with senior executives and the Board of Directors. The Senior Corporate Counsel is responsible for handling specialized, complex legal issues or projects relating to commercial transactions, disputes, regulatory affairs, human resource issues, business development and divestiture activities, education, compliance, and governance matters. The position may also have responsibility for generally supporting the legal needs of the Company's international operations. The position regularly interacts with and supplies training and education to various functions throughout the Company, including sales, marketing, customer service, contracts support, tax, finance and HR. The legal issues handled are specialized and may vary from time to time, and the position requires a highly experienced attorney. Operates with minimal supervision in a complex environment; minimal management of direct reports, but responsible for managing outside service providers and projects. This position is a Mentor, OH based hybrid position. Duties * Provide highly specialized and complex legal advice with respect to commercial matters and disputes, including contract drafting and negotiation. Responsible for drafting contracts and negotiating business agreements, and supporting business segment leaders in understanding risk and helping to achieve segment objectives. (30%) * Serve as an attorney with responsibility for providing legal services and representation to the Company's corporate support functions, including HR, finance, treasury, employee benefits, IT, and facilities. Review, evaluate, draft, and negotiate business agreements which properly protect the interests of the Company. (30%) * Provide advice and counsel to senior executives, Directors, and employees regarding human resource and labor issues. (20%) * Provide general support to international commercial operations through contract review and negotiation, risk management, and compliance based training and education. (20%) Required Experience 1. Juris Doctor Degree from an acreddited law school. 2. Currently licensed to practice law in the State of Ohio, or able to obtain a license to practice in Ohio shortly after joining STERIS. 3. Minimum of 8 years experience in a law firm or in-house legal department position. 4. Experience in representing corporations and business, negotiating complex business agreements, advising clients on legal, regulatory, risk management, risk avoidance and compliance matters on an international basis. 5. Experience in representing corporations with respect to business development and divestiture matters, human resource issues, and training/compliance programs and presentations. .
