Tax Director Location: CA The Atlas Corp. and Seaspan teams are goal-driven and share a high-performance culture, focusing on building services offerings to become a leading asset manager. Seaspan provides many of the world's major shipping lines with alternatives to vessel ownership by offering long-term leases on large, modern containerships and pure car, truck carriers (PCTCs) combined with industry leading ship management serves. Seaspan's fleet has evolved over time to meet the varying needs of our customer base. We own vessels in a wide range of sizes, from 2,500 TEU to 24,000 TEU vessels. As a wholly owned subsidiary of Atlas Corp, Seaspan delivers on the company's core strategy as a leading asset management and core infrastructure company. Job Summary: The Tax Director, reporting to Atlas Corp.'s ("Atlas") Head of Tax, will oversee tax matters with respect to Atlas' portfolio companies, Seaspan Corporation and APR Energy. This senior level position is considered the lead functional and technical expert for the organization's tax matters. The successful candidate will be responsible for the development and implementation of corporate tax policies and procedures that have international tax implications, the development of strategic plans in cross-border transactions, and analyzing a wide range of business transactions to understand and recommend the optimal tax position or strategy to the company. The Tax Director will have responsibility for leading the tax focus for Atlas' US company, APR Energy, including managing relationships with outside tax consultants and advisors in coordination with Atlas' Head of Tax. We are seeking a Tax Director who can effectively manage the tax compliance and optimization across a variety of tax jurisdictions. The primary tax jurisdictions of concern are the United Kingdom and the United States. Our subsidiaries have operations in various foreign tax jurisdictions, including but not limited to Australia, Bangladesh, Brazil, Mexico, Puerto Rico, and Singapore. Essential Functions/Responsibilities: * Develop tax planning initiatives by applying knowledge of U.S. tax laws, foreign tax laws, and various tax treaties to optimize withholding taxes and income taxes, including the timely use of foreign tax credits (or deductions) where available. * Liaise with business partners with respect to tax matters for supply chain management, corporate transactions, foreign investment and expansion, trade, acquisitions, strategic partnerships and commercial arrangements. * Manage tax compliance to ensure timely tax reporting and compliance with all tax laws, including indirect tax reporting. * Oversee transfer pricing policies and documentation, ensuring alignment with business operations and compliance relevant regulations. * Develop tax optimized policies and procedures with respect to the implementation of the OECD's Global Anti-Base Erosion Model Rules (Pillar Two). * Prepare the quarterly and annual tax provision for Atlas' companies. * Support Atlas's financial reporting process by ensuring timely and accurate reconciliations of all tax-related balance sheet accounts and preparing required footnote disclosures. * Prepare timely tax forecasts for Atlas. * Manage relationships with tax authorities and external auditors providing necessary documentation and support during tax audits. * Monitor changes in tax laws to anticipate the impact on Atlas' companies. * Assist legal team in handling all tax issues related to incorporation and dissolution of legal entities, corporate governance matters, and commercial contracts. * Maintain close coordination with accounting and finance teams on tax compliance and specific tax issues including audits. * Coordinate with finance, treasury and accounting to ensure tax-efficient cash management, including investment, re-deployment and repatriation of cash from foreign subsidiaries. * Work closely with the Head of Tax in setting the overall long-term strategy for the tax department, managing tax risks, and communicating with senior management on tax matters. Preferred Education and Competencies: * Bachelor's Degree in Accounting, Finance, or related field. * CPA or equivalent professional qualifications. * Minimum of 10 years of combined public accounting, legal and corporate tax department experience in international tax. * Experience with issues faced by large multinational companies is a plus. * Strong familiarity with indirect tax concepts. * Ability to research and communicate technical tax issues clearly to non-tax people. * Able to handle a variety of tax issues in a fast-paced environment, including being flexible to geographic time zones. * Strong analytical skills with the ability to think strategically and make sound decisions/recommendations in a complex international tax environment. Compensation and Benefits package: Seaspan's total compensation is based on our pay-for-performance philosophy that rewards team members who deliver on and demonstrate our high-performance culture. The hiring range for this position is $160,000 - $180,000 CAD per annum. The exact base salary offered will be commensurate with the incumbent's experience, job-related skills and knowledge, and internal pay equity. In addition to base salary, we offer a competitive total rewards package which includes an annual performance-based bonus, a comprehensive benefits package (extended health, dental, life and disability insurance), retirement savings plan matching and other company-provided rewards.
